Steel Prices
Quoted pricing is based on known steel pricing at the time of quotation and may be subject to adjustments after 2
weeks from the initial quotation date in accordance to actual steel prices at that time.
Limited Warranty
Subject to the exclusions set forth below, StackTeck warrants that all goods sold hereunder shall be free from defects in material and workmanship for a period of twelve months from the date of shipment, or up to 4,000,000 cycles, whichever comes first.
Warranty
Limitation on Warranty
During the warranty period, StackTeck will repair or replace any parts sold hereunder which, in the sole discretion of StackTeck, are considered to have been defective in materials or workmanship at the time of manufacture or shipment. The warranties herein do not cover any items that have been subject, in the sole discretion of StackTeck, to misuse, negligence, accident, or improper storage or handling, nor which have been operated over the normal designed conditions or limits or have been repaired or modified by personnel other than authorized StackTeck personnel.
The warranties herein do not extend to mold components which, due to the inherent design of the molded product, are fragile in nature, nor do they extend to mold components which are damaged due to corrosion. StackTeck’s sole obligation and the customer’s sole remedy, under the warranties set out herein shall be the repair or, at StackTeck’s sole option, the replacement of any goods sold hereunder which may be determined by StackTeck, in its sole discretion, to be defective; provided that the customer has notified StackTeck in writing of such defects within the warranty period and, provided further, that the customer will, at the customer’s sole expense, ship such goods to StackTeck's plant for repair or replacement, if necessary.
The warranties set forth in this document are the sole and exclusive warranties, and are made in lieu of all other warranties. There are no other warranties, express or implied, by operation of law or otherwise, for any products, services or other items sold or furnished under this agreement, and StackTeck disclaims all implied, statutory or other warranties or conditions of any kind including, without limitation, warranties and conditions of merchantability, satisfactory quality, non-infringement or fitness for a particular purpose. In respect of any products supplied under this contract that are manufactured by others, StackTeck gives no warranty whatsoever and the warranty of the manufacturer, if any, will apply.
Shipping, Title and Risk of Loss
Customer orders shall be processed in order of their acceptance by StackTeck, and StackTeck shall use its reasonable commercial efforts to ship goods specified in accepted customer orders in accordance with StackTeck’s manufacturing schedule. Shipment dates are estimates.
Interruption, Cancellation, and Amendment Charges
If during the design and/or manufacture of the above mold, it is placed “on hold” by the Purchaser, a reinstatement charge will be applied by StackTeck when the order is removed from “hold”. This charge is to recover administration, re-scheduling, re-tooling, additional set-up time and the re-issue of engineering drawings. Amendments to the original scope set out in this quotation may be subject to additional charges.
StackTeck reserves the right to cancel or re-quote the order after an order has been “on hold” for a period exceeding 180 days.
General
StackTeck shall not be responsible for and no liability shall result to Buyer for any delays in delivery or in performance which result in circumstances beyond StackTeck’s reasonable control including, without limitation, product unavailability, carrier delays, delays due to fire, flood, storm, severe weather conditions, pandemics, failure of power, labor problems, acts of war, terrorism, embargos, acts of God, shortages of supplies of raw materials or components or acts of any government or agency (each an Event of Force Majeure).
The terms and conditions as herein written shall supersede all previous communications, agreements or contracts, written or verbal, and no understanding, agreement, term, condition, or trade custom at variance herewith shall be binding on StackTeck. No waiver or modification of the terms and conditions hereof shall be effective unless in writing and signed by both parties. Any term contained in any purchase order or other document which is different from, inconsistent with, or additional to StackTeck's terms and conditions shall be void.
Specifications identified as "Customer Specified" are features specifically requested by the customer but are NOT necessarily recommended by StackTeck. StackTeck will provide its best effort to assist the customer in making the mold work, however the customer must accept the risks and implications for project deliverables (scope, performance, timing & cost) with respect to customer specified features and requirements. In the case of customer specified third party vendor selection, StackTeck will provide project management on a best efforts basis while any liability with respect to project deliverables shall be at the customer’s risk.
Withholding Taxes
All quoted prices are "net" of any withholding tax obligations that may apply.
Product Design and Testing
Product Design
It is expected that before the projected lead time for a project can begin, StackTeck will receive a completely detailed product design along with the shrinkage value to be used. StackTeck will offer assistance in the design of the part if required, but the lead time for the project will start only after the part drawing has been approved. Design assistance may include a plastic part design with an aggressive L/T ratio, however StackTeck cannot assume responsibility for design and resin selections that result in excessive core shift or inability to fill the part. Due to the unpredictable nature of actual shrinkage rates, and their dependency on material selection and the final running environment within any given manufacturing facility, shrinkage predictions must be based solely on each individual company's experience with similar resins and part wall sections. Any predicted shrinkage rate advised by StackTeck is an
estimate only and is based solely on its test room facility experience.
Further, StackTeck assumes no responsibilities for the function of the product in its final environment, or infringement upon any existing, or pending patents known or unknown.
Mold Documents
All complete molds are supplied with a mold manual which includes: drawings for the main assembly of the mold, the molds customized stack components, and any related electrical and/or hydraulic schematics.
All mold design documentation submitted by StackTeck to the Purchaser remains the property of StackTeck upon placing a purchase order corresponding to this quotation, the purchaser agrees to maintain StackTeck mold design documentation as confidential.
Estimated Performance Targets
Estimated cycle times, plastic part weights, part shrinkages, and minimum tonnage estimates, if given, are based solely on the information provided by the customer along with StackTeck’s experience in its test room facility. They are not a guarantee of the actual cycle time, final part weight, part shrinkage, or minimum tonnage, required to run under production conditions in the customer’s plant. As with actual shrinkage rates, part weight, cycle time, and minimum tonnage will vary as a result of the final running environment within any given manufacturing facility. StackTeck will optimize the molding process during the scheduled mold test, on a best-efforts basis, to achieve optimal cycle time, part weight, part shrinkage and tonnage requirements. The mold will be designed to maximize cycle efficiencies. It is assumed that the end use molder has the essential adequate plant auxiliaries, such as electricals, compressed air, water flow, water pressure, and water temperature.
Standard Test
The Standard Test will consist of the following:
Customers mold will be tested prior to shipment with the purchaser’s supplied resin in the most suitable, available StackTeck test machine. One half hour dry cycle, one Color, one resin will be run for 2 hours. Five full shots will be used for part and weight measurements of final shots. Up to six critical sizes to be measured for customer. 10 shots (10% Lot for large cavitation), test log (stating molding conditions & parameters) will be supplied to customer for mold approval. Any additional customer requirements beyond above stated ‘Standard Test’ could be chargeable. Example (Steel Safe, multi-color / resin, extended part runs etc.)
Customer to provide resin, color & packaging material 6 weeks before mold is to be tested in order to maintain test schedule.
